Terms and Conditions

1. Introduction

These Terms and Conditions (the “Terms” or “Agreement”) govern the legal relationship between Pike Thrive Limited, a company registered in Malta with registered office at St Julian’s Business Centre, Level 5, Elija Zammit Street, St Julians, STJ3153, Malta, registration number C 114961 and VAT number MT32643407 (“Atlas Affiliates”, “Atlas”, “we”, “us”, or the “Network”), and any individual or entity accepted by Atlas as an affiliate partner (“Affiliate”, “you”, or “your”). 

By applying for, registering for, accessing, or using the Atlas Affiliates platform, dashboard, tracking links, offers, or services, you acknowledge that you have read, understood, and agreed to be bound by these Terms. 

If you do not agree to these Terms, you must not access or use the Atlas Affiliates platform or participate in the Atlas network. 

2. Nature of the Atlas Network

2.1 Atlas Affiliates operates an affiliate network and commercial intermediary model for online customer acquisition and related marketing cooperation. 

2.2 Atlas enters into commercial arrangements separately with its affiliate partners and separately with the operators, advertisers, brands, or other commercial counterparties with which it works. 

2.3 Unless Atlas expressly confirms otherwise in writing, the Affiliate has no direct contractual relationship with any operator, advertiser, casino, or brand promoted through the Atlas network, and the Affiliate’s contractual relationship in relation to the Atlas network is with Atlas only. 

2.4 Atlas does not hold funds on behalf of Affiliates, operators, advertisers, or any other third parties, does not operate client money accounts, and does not act as a bank, payment institution, electronic money institution, trustee, escrow agent, or custodian of third-party funds. 

2.5 Any commission, fee, revenue share, CPA, hybrid payment, or other commercial payment payable to an Affiliate under these Terms is a payment obligation of Atlas subject to these Terms and the applicable deal terms. 

3. Definitions

For the purposes of these Terms: 

Account means the Affiliate’s registered account within the Atlas network. 

Affiliate means an individual or entity approved by Atlas to promote offers, brands, or campaigns made available through the network. 

Affcollect Platform or Platform means the affiliate tracking and management system used by Atlas, currently operated through Affcollect, together with related reporting tools, dashboards, and account interfaces. 

Brand means any gambling, casino, betting, or related brand, operator, product, or offer made available through the Atlas network. 

Commission means any amount payable to the Affiliate under an applicable deal, including CPA, revenue share, hybrid, fixed fee, sub-affiliate payment, or other agreed commercial model. 

Deal Terms means any specific commercial terms agreed between Atlas and the Affiliate in writing, including but not limited to commission structure, approved GEOs, approved traffic sources, payment terms, approved websites, campaign rules, and special conditions. 

Fraudulent Traffic means any traffic, activity, registration, deposit, lead, or other user action that is false, manipulated, incentivised without approval, prohibited, low-quality, non-genuine, abusive, unlawful, or otherwise in breach of these Terms or the applicable Deal Terms. 

Net Revenue means the revenue basis expressly defined in the relevant Deal Terms, operator reporting logic, or campaign terms, subject always to validation, corrections, negative adjustments, fraud deductions, chargebacks, clawbacks, bonus abuse, duplicate accounts, self-excluded players, and other exclusions applied in accordance with the applicable deal. 

Operator or Advertiser means a third-party business, brand, casino, betting operator, or commercial counterparty with which Atlas has its own separate commercial arrangement. 

4. Acceptance, Updates and Application of Terms

4.1 These Terms apply to all Affiliates participating in the Atlas network unless expressly varied in writing by Atlas. 

4.2 Atlas may update or amend these Terms at any time at its sole discretion. 

4.3 Updated Terms may be published on the Atlas Affiliates website or otherwise communicated through the Platform or by written notice. 

4.4 Continued use of the Atlas network after updated Terms are published or communicated constitutes acceptance of the updated Terms. 

5. Account Registration and Approval

5.1 Affiliates must provide complete, accurate, and truthful personal, business, and tax-related information when applying to the Atlas network. 

5.2 Atlas may accept or reject any application in its sole discretion, with or without explanation. 

5.3 Atlas may request KYC, identity verification, company verification, source of traffic information, invoicing details, tax information, banking information, beneficial ownership information, or any other compliance information at any time before approval, during the relationship, or before any payment is made. 

5.4 Affiliates must be at least 18 years old and legally capable of entering into binding contracts. 

5.5 Each individual or entity may operate only one Atlas account unless Atlas expressly approves otherwise in writing. 

5.6 Affiliates must promptly notify Atlas of any material change in ownership, control, address, tax status, payment details, websites, traffic methods, or other relevant circumstances. 

6. Affiliate Relationship and Programme Structure

6.1 Atlas may make available to the Affiliate various offers, brands, campaigns, or opportunities under separate Deal Terms. 

6.2 Atlas may approve or reject any website, source, channel, campaign, territory, media buying method, paid traffic method, search method, SEO method, social media account, streamer, sub-affiliate, or promotional approach in its sole discretion. 

6.3 No Deal Terms, commission model, traffic permission, or brand approval shall apply unless approved or confirmed by Atlas in writing, including through the Platform, dashboard, email, Telegram, Teams, or other written electronic communication. 

6.4 Atlas may suspend, amend, or withdraw any deal, campaign, approved source, or commercial arrangement at any time, subject to any specific written commitment expressly agreed by Atlas.

7. Tracking and Reporting

7.1 Atlas uses the Affcollect Platform as its affiliate tracking and management software. 

7.2 Affiliate performance, traffic, registrations, deposits, conversions, and other activity may be tracked through Affcollect together with data, validations, and reconciliations received from operators, advertisers, brands, or other relevant counterparties. 

7.3 The Affiliate acknowledges that tracking is subject to technical limitations, integration differences, reporting latency, reconciliation processes, and operator-side validation. 

7.4 Atlas does not guarantee that tracking will always be uninterrupted, error-free, or identical across all systems. 

7.5 In the event of any discrepancy, Atlas may rely on the data, records, validations, reconciliations, or determinations that Atlas considers most reliable in the circumstances, including operator-confirmed or Atlas-confirmed reporting. 

7.6 Any dispute relating to clicks, registrations, deposits, commissions, or other reporting must be raised in writing within 30 days of the end of the relevant month, failing which the relevant records shall be deemed accepted. 

8. Approved Marketing and Affiliate Obligations

8.1 The Affiliate shall only promote: 

  • brands and offers approved by Atlas, 
  • through approved traffic sources, websites, channels, or campaigns, 
  • in approved GEOs, 
  • and in compliance with applicable laws, regulations, platform policies, and Atlas instructions. 

8.2 The Affiliate shall not: 

  • target minors or vulnerable persons; 
  • target prohibited or unapproved jurisdictions; 
  • use misleading, false, deceptive, defamatory, or non-compliant marketing; 
  • imply that Atlas or any operator has approved any unapproved content or claims; 
  • use spam, unsolicited communications, or prohibited messaging methods; 
  • use unauthorized trademarks, brand bidding, redirects, or domain imitation; 
  • use fake bonuses, fake urgency, fake claims, or false representations; 
  • promote offers through unapproved sources or placements; 
  • re-broker, resell, or arbitrage traffic without Atlas’s prior written consent. 

8.3 The Affiliate is solely responsible for: 

  • the content and legality of its promotions, 
  • its traffic sources and campaign costs, 
  • its websites, channels, and social accounts, 
  • required disclosures, 
  • and compliance with all applicable advertising, consumer, privacy, and gambling-related laws and standards. 

8.4 Atlas may require the Affiliate to remove, amend, suspend, or stop any content, campaign, source, or activity at any time, and the Affiliate shall comply without delay. 

9. Fraud, Invalid Traffic and Compliance Review

9.1 Fraudulent Traffic is strictly prohibited and is not commissionable. 

9.2 Atlas may treat as invalid or non-payable any traffic, player, lead, registration, deposit, or activity that Atlas or the relevant operator reasonably considers to be: 

  • fraudulent, 
  • duplicate, 
  • self-referred, 
  • artificial, 
  • automated, 
  • incentivised without approval, 
  • bonus abusive, 
  • multi-accounting, 
  • collusive, 
  • low quality, 
  • non-genuine, 
  • non-compliant, 
  • chargeback-related, 
  • AML-risk-related, 
  • or otherwise in breach of these Terms or Deal Terms. 

9.3 Atlas may, in its sole discretion: 

  • suspend an Affiliate account, 
  • place payments on hold, 
  • reverse or adjust commissions, 
  • offset future payments, 
  • reclaim previously credited commissions, 
  • terminate the relationship, 
  • or request supporting information or explanations. 

9.4 Atlas may withhold payment while any fraud, compliance, KYC, sanctions, AML, source-of-traffic, source-of-funds, or other review is pending. 

9.5 The Affiliate shall cooperate fully and promptly with any compliance, fraud, KYC, or source-of-traffic review. 

10. Commissions, Invoicing and Payment Terms

10.1 Commissions are payable only in relation to valid, approved, and commissionable activity under the applicable Deal Terms. 

10.2 All commissions are subject to final validation, reconciliation, and approval by Atlas. 

10.3 Unless Atlas expressly agrees otherwise in writing, Atlas pays Affiliates monthly in arrears for the previous calendar month’s approved commissions

10.4 Payments are made only against a valid invoice issued by the Affiliate to Atlas. 

10.5 Unless Atlas expressly agrees otherwise in writing, payments are made by bank transfer only

10.6 The Affiliate must provide accurate invoice details, bank details, and any other information reasonably required for payment. 

10.7 Atlas may refuse, defer, or suspend payment if: 

  • the invoice is incomplete, inaccurate, or non-compliant; 
  • KYC or compliance documents are missing; 
  • the Affiliate’s details are inconsistent or unverifiable; 
  • traffic, reporting, or commission calculations remain under review; 
  • the relevant underlying activity remains disputed or unvalidated; 
  • the Affiliate is in breach of these Terms; 
  • or Atlas has reasonable compliance, fraud, legal, sanctions, AML, or reputational concerns. 

10.8 Atlas may apply minimum payout thresholds, rollover mechanics, negative adjustments, clawbacks, deductions, or offsets where applicable under the relevant Deal Terms or where reasonably necessary to reflect the correct net payable position. 

10.9 No interest shall accrue on unpaid balances unless expressly required by mandatory law. 

11. No Custody, No Client Money, No Fiduciary Relationship

11.1 The Affiliate acknowledges and agrees that Atlas does not receive, hold, safeguard, segregate, or administer monies as trustee, fiduciary, escrow holder, payment institution, electronic money institution, or custodian on behalf of the Affiliate. 

11.2 Any amounts reflected in the Platform, dashboard, reports, or communications are indicative until finally validated, invoiced where required, and approved for payment by Atlas. 

11.3 No balance shown in the Platform or dashboard constitutes a bank balance, safeguarded client money balance, deposit, e-money balance, trust property, or segregated funds held for the Affiliate. 

12. Taxes, VAT and Fees

12.1 Affiliates are solely responsible for their own taxes, VAT, reporting obligations, filings, invoicing compliance, and related professional advice. 

12.2 Atlas does not provide tax advice to Affiliates. 

12.3 Unless expressly agreed otherwise in writing, the Affiliate shall bear its own banking fees, intermediary fees, FX charges, and other receipt-related charges. 

12.4 The Affiliate shall issue invoices in accordance with applicable law and with any information reasonably requested by Atlas. 

13. Intellectual Property and Use of Materials

13.1 All network materials, platform content, texts, logos, creative assets, dashboards, links, data layouts, and brand-related materials remain the property of Atlas or the relevant rights holder. 

13.2 The Affiliate receives only a limited, revocable, non-exclusive, non-transferable right to use approved materials strictly for authorised promotional purposes. 

13.3 The Affiliate shall not alter, copy, sublicense, redistribute, or misuse materials except as expressly permitted by Atlas. 

13.4 Atlas may revoke any usage permission at any time. 

14. Confidentiality

14.1 All non-public information relating to Atlas, its counterparties, operators, advertisers, brands, offers, commission structures, deal terms, payment arrangements, fraud logic, traffic evaluation, commercial arrangements, communications, and internal systems is confidential. 

14.2 The Affiliate shall not disclose or use such confidential information except as strictly necessary for participation in the Atlas network. 

14.3 This confidentiality obligation survives termination indefinitely.

15. Representations and Warranties

15.1 The Affiliate represents and warrants that: 

  • it has full authority to enter into these Terms; 
  • all information provided to Atlas is true, complete, and not misleading; 
  • it will comply with all applicable laws and regulations; 
  • it will not engage in fraud, unlawful conduct, sanctions evasion, money laundering, deceptive promotion, or prohibited traffic activity; 
  • and it will not infringe third-party rights. 

16. Suspension and Termination

16.1 Either party may terminate this Agreement at any time by written notice, unless otherwise stated in specific Deal Terms. 

16.2 Atlas may suspend or terminate the Affiliate immediately if: 

  • the Affiliate breaches these Terms; 
  • Atlas suspects fraud, abuse, non-compliance, sanctions risk, AML risk, or reputational risk; 
  • required KYC or compliance information is not provided; 
  • the Affiliate promotes unapproved or prohibited activity; 
  • Atlas is required to do so by law, a regulator, a bank, or a commercial counterparty; 
  • or Atlas otherwise reasonably determines that continuation of the relationship is inappropriate. 

16.3 Upon suspension or termination: 

  • access to the Platform may be suspended or removed; 
  • links and campaigns may be disabled; 
  • commissions may be frozen pending validation; 
  • and only valid, approved, non-disputed, and properly invoiced commissions may remain payable. 

17. Disclaimers and Limitation of Liability

17.1 Atlas provides the Platform, network, and services on an “as is” and “as available” basis. 

17.2 Atlas does not guarantee uninterrupted availability, error-free tracking, continuous operator availability, uninterrupted brand operation, or the continued availability of any deal or campaign. 

17.3 Atlas shall not be liable for indirect, incidental, special, consequential, or punitive loss, including loss of profits, loss of business, loss of goodwill, or loss of anticipated revenue. 

17.4 To the fullest extent permitted by law, Atlas’s total aggregate liability to the Affiliate arising out of or in connection with these Terms shall not exceed the total amount of commissions actually paid by Atlas to the Affiliate during the three months preceding the event giving rise to the claim. 

18. Indemnity

18.1 The Affiliate shall indemnify and hold harmless Atlas, its directors, officers, employees, contractors, and affiliates from and against any claims, losses, liabilities, damages, costs, and expenses arising out of or in connection with: 

  • the Affiliate’s breach of these Terms; 
  • the Affiliate’s marketing, traffic, content, or promotional methods; 
  • any fraud, unlawful conduct, misleading conduct, regulatory breach, privacy breach, or IP infringement by the Affiliate; 
  • or any third-party claim arising from the Affiliate’s activities. 

19. Force Majeure

19.1 Atlas shall not be liable for any delay or failure caused by events outside its reasonable control, including technical failures, internet or software outages, third-party failures, banking disruptions, regulatory action, war, strikes, sanctions, or force majeure events. 

20. Governing Law and Disputes

20.1 These Terms shall be governed by and construed in accordance with the laws of Malta. 

20.2 The parties shall first attempt to resolve disputes in good faith through written communication. 

20.3 Any claim must be raised by the Affiliate within 30 days of the relevant event or statement, failing which it is waived to the fullest extent permitted by law. 

20.4 The courts of Malta shall have exclusive jurisdiction, unless Atlas elects otherwise where legally permitted. 

21. Entire Agreement

21.1 These Terms, together with any applicable Deal Terms, dashboard approvals, written approvals, and written commercial communications issued or confirmed by Atlas, constitute the entire agreement between Atlas and the Affiliate. 

21.2 In the event of inconsistency: 

  • specific written Deal Terms approved by Atlas prevail over these general Terms; 
  • these Terms prevail over general Affiliate-side templates or unilateral Affiliate terms.
